1. Agreement to Terms

By accessing or using the Ethea Studios website (www.etheastudios.com), mobile applications, services, or any classes, events, or activities offered by Ethea Studios (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legal agreement between you and Ethea Studios ("Company," "we," "us," or "our").

2. Eligibility

You must be at least 18 years of age to create an account, purchase memberships, or book classes. By using our Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are under 18, you may only participate in classes with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or if you violate these Terms.

4. Class Bookings and Cancellations

4.1 Booking Classes

When you book a class through our Service, you are reserving a spot in that class. Class availability is subject to change, and we reserve the right to modify, cancel, or reschedule any class at any time.

4.2 Cancellation Policy

By You: If you need to cancel a booked class, please do so at least 24 hours in advance to avoid any applicable cancellation fees. Late cancellations or no-shows may result in forfeiture of the class credit or a cancellation fee as specified at the time of booking.

By Us: We may cancel or reschedule classes due to instructor availability, low enrollment, weather, or other circumstances. If we cancel a class, you will receive a full refund or credit for that class.

5. Memberships and Subscriptions

5.1 Subscription Terms

Ethea Studios offers membership subscriptions that provide access to classes and other benefits as described at the time of purchase. By purchasing a membership:

  • You authorize us to charge your selected payment method on a recurring basis (e.g., monthly or annually) until you cancel
  • Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date
  • You are responsible for canceling your subscription if you no longer wish to be charged

5.2 Pricing Changes

We reserve the right to change subscription prices at any time. If we increase the price of your subscription, we will notify you via email at least 30 days before the change takes effect. Your continued use of the Service after the price change constitutes acceptance of the new price.

5.3 Cancellation

You may cancel your membership at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods.

6. Products and Merchandise

Ethea Studios may offer products and merchandise for purchase through the Service. All purchases are subject to product availability. We reserve the right to limit quantities and refuse any order.

6.1 Pricing and Payment

All prices are listed in U.S. dollars and are subject to change without notice. You agree to pay all charges incurred through your account, including applicable taxes and shipping fees.

6.2 Returns and Refunds

Please refer to our return policy displayed at the point of purchase for information on returns, exchanges, and refunds for merchandise.

6.3 Payment Processing

We use Shopify to handle transactions. By making a purchase, you agree to the terms and conditions of our payment processor(s) in addition to these Terms. We are not responsible for errors made by payment processors.

7. Health and Safety

7.1 Your Responsibility

Participating in fitness and wellness activities involves inherent risks. You acknowledge that:

  • You are voluntarily participating in physical activities
  • You should consult a physician before beginning any exercise program, especially if you have any medical conditions or concerns
  • You are responsible for informing our instructors of any injuries, health conditions, or limitations that may affect your participation
  • You will follow all instructions and safety guidelines provided by our staff

7.2 Studio Conduct

While at our studio or participating in our classes, you agree to:

  • Treat staff, instructors, and other participants with respect
  • Follow all posted rules and guidelines
  • Refrain from disruptive or dangerous behavior
  • Not attend class while under the influence of drugs or alcohol

We reserve the right to refuse service or remove any individual who violates these guidelines.

8. Intellectual Property

All content on the Service, including but not limited to text, graphics, logos, images, videos, audio, and software, is the property of Ethea Studios or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, transmit, modify, or create derivative works from any content on the Service without our prior written consent.

9. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Share, sell, or transfer your account to another person
  • Use the Service to harass, abuse, or harm others
  • Post or transmit any harmful, offensive, or inappropriate content

10. Limitation of Liability

To the fullest extent permitted by law, Ethea Studios and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid to us in the six (6) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ethea Studios and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

13. Modifications to Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this document. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York.
